Legal basis

General framework of the service

These terms establish the conditions under which Nexcorum provides its services, the user’s obligations, the platform’s liability limits, and the rules applicable to automations, integrations, data, payments, and third-party services.

Regulatory compliance: Nexcorum will seek to operate in accordance with the applicable laws of the Republic of Ecuador, including personal data protection regulations, electronic commerce, contractual relationships, and other provisions that may apply according to the nature of the service.
User responsibility: The user must use Nexcorum lawfully, with proper authorization and due diligence, especially when connecting external accounts, emails, spreadsheets, calendars, webhooks, messaging services, customer data, or third-party information.
Service limitations: Nexcorum is a technology platform that may depend on infrastructure, networks, APIs, connected accounts, and external providers. Therefore, it cannot guarantee permanent availability, complete absence of errors, or full recovery in every scenario.

Scope

Scope of application of these terms

These terms govern the use of Nexcorum, including account creation, automations, integrations, subscriptions, payments, data, support, security, technical limits, liability, and dispute resolution mechanisms.

Acceptance of terms: By creating an account, accessing Nexcorum, subscribing to a plan, or using any platform feature, the user accepts these Terms and Conditions, the Privacy Policy, and the rules applicable to the service.
Automations: Nexcorum allows users to configure automated flows through triggers, actions, integrations, and information processing. The user is responsible for reviewing, testing, and properly configuring their automations.
External integrations: Some features may depend on external services such as Google, Microsoft, Slack, Meta, WhatsApp Business Cloud API, Twilio, OpenAI, email providers, DNS, cloud services, payments, or other technology services.
Plans and payments: Access to certain features may depend on the subscribed plan. Payments, renewals, cancellations, refunds, and usage limits will be subject to these terms and the corresponding payment provider.
Data and privacy: The processing of personal data is mainly governed by the Privacy Policy. These terms also establish user responsibilities regarding the information they connect, upload, transmit, or process through Nexcorum.
Applicable law and dispute resolution: These terms will be governed by the laws of the Republic of Ecuador. Disputes related to Nexcorum must first attempt to be resolved through direct communication and, if no solution is reached, through mediation, arbitration, or competent jurisdiction in Ecuador according to these terms and applicable regulations.

Permitted use

Authorized use of the platform

Nexcorum must be used for lawful, legitimate, and authorized purposes related to process automation, tool integration, operational communication, and permitted information management.

1Create legitimate automations between connected applications, services, and accounts.
2Process your own information or third-party information when sufficient authorization exists.
3Send internal, operational, or commercial communications permitted by law.
4Use external integrations while respecting each provider’s terms, limits, and policies.
5Keep credentials, permissions, accounts, data, and platform settings updated and protected.

Prohibited use

Use restrictions

The user may not use Nexcorum for illegal, abusive, fraudulent, unauthorized, or harmful activities that compromise the security, reputation, availability, or legal compliance of the platform, other users, or third parties.

Do not use Nexcorum for fraud, phishing, spam, impersonation, abuse, harassment, exploitation, control evasion, or unlawful activities.
Do not upload, connect, transmit, or process personal data, trade secrets, or third-party information without sufficient authorization.
Do not introduce classified, reserved, governmental, police, military, intelligence, critical, or highly regulated information without express legal authorization.
Do not attempt to breach, scan, attack, overload, interfere with, or bypass the security of Nexcorum, its users, providers, or third parties.
Do not use automations to send unsolicited mass communications or messages that violate laws, anti-spam policies, or external provider rules.
Do not resell, sublicense, rent, commercially exploit, or provide access to Nexcorum in an unauthorized manner.
Do not use Nexcorum as an official, legal, accounting, governmental, financial, or regulated repository when the platform has not been expressly contracted for that purpose.

Personal data

Processing and protection of personal data

Nexcorum will process personal data in accordance with the applicable laws of the Republic of Ecuador and its Privacy Policy. The user is responsible for having the necessary authorizations, legal bases, or consents regarding the data they connect, upload, transmit, or process through the platform.

1Nexcorum will implement reasonable technical, administrative, and organizational measures to protect personal data processed through the platform.
2The user must have a legal basis, consent, contractual authorization, or another valid lawful basis to process third-party data through Nexcorum.
3The user will be responsible for complying with their own obligations toward customers, employees, contacts, providers, or third parties whose data they process through the platform.
4Nexcorum may use external providers necessary to operate the service, as stated in the Privacy Policy.
5Data subjects may exercise applicable rights under the relevant regulations, including access, rectification, update, deletion, objection, or portability where applicable.

Nexcorum uses Google Ads to measure confirmed email registrations and purchases as explained in the Privacy Policy. Accepting these Terms or the Privacy Policy does not grant advertising consent. Advertising measurement consent is optional and can be withdrawn through the controls described in that Policy, without affecting account access or your subscription.

Sensitive information

Sensitive, reserved, or regulated information

The user must not use Nexcorum to upload, process, transmit, or store classified, reserved, governmental, police, military, intelligence, critical, regulated, or third-party information unless they have sufficient legal authorization and assume the corresponding responsibility.

The user declares that they have sufficient rights, permissions, and authorizations over the information they connect, upload, transmit, or process through Nexcorum.
The user assumes responsibility for governmental, police, military, confidential, regulated, or third-party information introduced without sufficient authorization.
Nexcorum does not pre-review all content uploaded, connected, transmitted, or automated by users.
Nexcorum may limit, suspend, or remove flows, integrations, or accounts when it detects legal, technical, reputational, security, or compliance risks.

Intellectual property

Platform ownership and license of use

Nexcorum retains all rights over its software, brand, logo, design, interface, webhooks created by users documentation, code, structure, base templates, and proprietary platform elements. The user receives only a limited, non-exclusive, revocable, and non-transferable license to use the service according to the subscribed plan and these terms.

2The user retains ownership of their own data, content, configurations, and automations lawfully created through the platform.
3Use of Nexcorum does not grant the user ownership rights over the software, infrastructure, source code, models, base templates, documentation, design, or underlying technology.
4The user may not copy, modify, decompile, reverse engineer, resell, sublicense, exploit, or create derivative services from Nexcorum without express authorization.

Third parties

Dependence on third-party providers and integrations

Certain Nexcorum functions may depend on external services, including cloud providers, storage, email, authentication, APIs, payments, artificial intelligence, messaging, and integrations. Nexcorum does not have absolute control over the availability, continuity, policies, technical limits, or operation of such providers.

2If services such as Google, Microsoft, Slack, Meta, Twilio, OpenAI, cloud providers, DNS, email, or payments fail, Nexcorum may make reasonable efforts to restore the service or mitigate the impact.
3Nexcorum will not be responsible for errors, delays, loss of access, automation failures, or data loss caused by external providers outside its reasonable control.
4The user will be responsible for keeping their external accounts, OAuth permissions, credentials, files, sheets, calendars, channels, numbers, and connected services active, secure, and properly configured.
5Revoked permissions, password changes, file deletion, account suspension, API limits, or restrictions imposed by third parties may affect the operation of Nexcorum.

Backups

Backups, recovery, and information retention

Nexcorum may implement backup and recovery mechanisms using its own infrastructure or external providers. These mechanisms are intended to support operational continuity, but they do not replace the user’s obligation to keep independent copies of information they consider critical.

1Nexcorum may perform technical backups of systems, databases, configurations, or operational information for continuity, recovery, and security purposes.
2Backups may depend on external cloud or storage providers, including Google Cloud Storage or similar providers.
3Nexcorum does not guarantee total, immediate, or complete recovery in cases of loss, corruption, deletion, unavailability, or failures caused by third parties, force majeure, or events beyond its reasonable control.
4The user must keep independent copies of critical, legal, financial, governmental, commercial, operational, sensitive, or regulated information.
5Nexcorum must not be considered the only archival, legal custody, accounting, financial backup, regulated repository, or exclusive storage system for critical information.

Security

Security measures and technical limitations

Nexcorum will implement reasonable technical, administrative, and organizational measures to protect the platform and the information processed through it. However, the user acknowledges that no internet-connected technology system can guarantee absolute security, permanent availability, or the complete absence of risks.

1Nexcorum may apply authentication, access controls, encryption, monitoring, logs, logical isolation, backups, and other security best practices.
2The user will be responsible for protecting their account, email, credentials, devices, passwords, tokens, permissions, and third-party access.
3Nexcorum does not guarantee that the service will be uninterrupted, invulnerable, error-free, or immune to all present or future attacks.
4The user must promptly inform Nexcorum if they detect unauthorized access, breaches, serious failures, or misuse of their account.
5Nexcorum may adopt preventive or corrective measures to protect the platform, including limiting features, suspending access, or disabling risky automations.

Force majeure

Force majeure, fortuitous events, and events beyond reasonable control

Nexcorum will not be liable for delays, interruptions, unavailability, data loss, security failures, or breaches caused by force majeure, fortuitous events, or circumstances beyond its reasonable control.

1Natural disasters, earthquakes, floods, fires, pandemics, epidemics, power failures, or large-scale internet and telecommunications failures.
2Wars, armed conflicts, invasions, terrorism, sabotage, riots, blockades, sanctions, orders from competent authorities, or governmental restrictions.
3Failures of cloud providers, external storage, APIs, DNS, email, payment gateways, authentication services, networks, or third-party infrastructure.
4Sophisticated cyberattacks, state-sponsored attacks, foreign governmental entities, organized criminal groups, zero-day vulnerabilities, or international cyber-espionage campaigns.
5Attacks based on emerging technologies, quantum computing, or other future technologies that exceed commercially reasonable security measures available at the time of the incident.

Payments

Payments, subscriptions, and commercial terms

By subscribing to a plan, the user accepts the prices, limits, renewals, taxes, payment provider, and other commercial conditions associated with the selected service.

Plans: Each plan may include different limits, features, integrations, automations, support, and capabilities. Available features may be modified or evolve over time.
Renewals: Subscriptions may renew automatically according to the subscribed cycle unless cancelled through the available flow or the rules of the payment provider.
Payment provider: Payments may be processed by external providers. Nexcorum does not fully control their approvals, rejections, verifications, banking times, internal policies, or review processes.
Taxes and charges: The user will be responsible for applicable taxes, charges, withholdings, fees, or costs according to their jurisdiction, unless otherwise required by law.

Plans

Plans, features, and usage limits

Access to features, integrations, automations, support, limits, and capabilities may depend on the subscribed plan, technical availability, legal compliance, and third-party policies.

1Features may vary between BASIC, PRO, PLATINUM, ENTERPRISE, and DIAMOND plans.
2Nexcorum may update technical limits to preserve stability, security, performance, and service quality.
3Excessive, abusive, risky use or use contrary to these terms may be limited even if a subscription is active.
4Some integrations may require approval, permissions, OAuth review, compatible external accounts, or validation by providers.
5Feature availability may depend on third parties, APIs, provider policies, and user configuration.

Cancellations

Cancellations, refunds, and request review

Cancellation, refund, return, or withdrawal requests will be reviewed according to the subscribed plan, payment provider, service usage, applicable Ecuadorian law, and the specific circumstances of the case.

Cancellation: The user may request or execute cancellation through the available mechanisms. Cancellation may not immediately remove access when an active paid period remains.
Refunds: Refunds will not be automatic unless required by applicable Ecuadorian law or expressly approved by Nexcorum after reviewing the request.
Misuse: Nexcorum may deny refunds when it detects abuse, fraud, breach of these terms, unlawful use, or improper exploitation of the service.
Processing times: Processing times may depend on banks, cards, payment networks, external providers, or billing platforms.

Artificial intelligence

Artificial intelligence-based features

Nexcorum may include artificial intelligence features for translation, guidance, support, or automation. These features are assistance tools and do not replace professional review, human judgment, or user validation.

1Responses, translations, or outputs generated by artificial intelligence may contain errors, omissions, inaccuracies, or incorrect interpretations.
2The user must not rely exclusively on artificial intelligence features for legal, medical, financial, governmental, security, or critical decisions.
3Some artificial intelligence features may depend on external providers and be subject to their policies, availability, limits, and technical changes.
4Nexcorum may limit, modify, or suspend artificial intelligence features for security, cost, compliance, or technical reasons.

Liability

Limitation of liability

Nexcorum will be liable only to the extent required under applicable law and for events directly attributable to its own conduct. To the maximum extent permitted by applicable law, Nexcorum will not be liable for damages, losses, or harm arising from events beyond its reasonable control, user configurations, third-party services, or misuse of the platform.

1Nexcorum does not guarantee specific commercial, financial, operational, legal, strategic, or economic results derived from the use of the service.
2Nexcorum will not be responsible for incorrect configurations, inaccurate data, revoked permissions, user errors, file deletion, or unauthorized use of connected accounts.
3Nexcorum will not be responsible for indirect losses, lost profits, lost opportunities, reputational damage, or consequences derived from external services, unless mandatory law provides otherwise.
4To the maximum extent permitted by law, Nexcorum’s total accumulated liability may be limited to the amount actually paid by the user during the months prior to the event giving rise to the claim.
5Nothing in these terms limits non-waivable rights of consumers, personal data subjects, or other mandatory protections recognized by applicable law.

Disputes

Applicable law, jurisdiction, and dispute resolution in Guayaquil, Ecuador

These terms will be governed by and interpreted in accordance with the laws of the Republic of Ecuador. Any dispute arising from the use of Nexcorum, the contractual relationship, payments, data, integrations, automations, or these terms must first attempt to be resolved through direct communication. If no solution is reached, the parties will submit to mediation and, where applicable, arbitration administered by the Arbitration and Conciliation Center of the Guayaquil Chamber of Commerce, seated in Guayaquil, Ecuador, under its current rules and applicable Ecuadorian regulations, unless a mandatory rule provides otherwise.

1These terms will be governed by and interpreted in accordance with the laws of the Republic of Ecuador.
2Before initiating any formal action, the user must notify Nexcorum in writing and grant a reasonable period to seek a direct and amicable solution.
3Where applicable, the parties will submit to mediation and, where applicable, arbitration administered by the Arbitration and Conciliation Center of the Guayaquil Chamber of Commerce, seated in Guayaquil, Ecuador.
4Any judicial, arbitral, or alternative proceeding related to Nexcorum must be conducted in the Republic of Ecuador, before the competent authorities or centers in Guayaquil where applicable, unless a mandatory applicable rule provides otherwise.

Termination

Suspension, restriction, or termination of the service

Nexcorum may limit, suspend, or terminate accounts, integrations, or automations when there is legal, technical, security, abuse, fraud, breach of these terms, or competent authority risk.

1The user may stop using Nexcorum or cancel their subscription through the available mechanisms.
2Nexcorum may suspend automations that generate abuse, spam, serious errors, security risks, or legal breaches.
3Account termination may affect access to automations, settings, records, integrations, and associated data.
4Nexcorum may retain certain records only when necessary for security, legal compliance, audit, fraud prevention, claim handling, tax or regulatory obligations, or legal defense, for the period permitted or required by applicable regulations.
